Agency: Refers to DIYA DIGITAL MEDIA, the provider of the services outlined herein.
Services: Encompasses all marketing, advertising, social media management, content creation, SEO, PPC, and related services provided by the Agency to the Client.
2. Scope of Services
The Agency will provide digital marketing services as outlined in the service agreement signed by the Client.
Service details, goals, deliverables, timelines, and fees are specified in each agreement.
Any additional services outside the scope must be requested in writing and may incur additional charges.
3. Confidentiality and Privacy
Both the Agency and the Client agree to maintain the confidentiality of proprietary information, including business strategies, data, client information, and other sensitive materials.
The Agency may collect, store, and process Client data solely to deliver effective marketing services and comply with legal requirements, in accordance with data protection laws.
4. Intellectual Property Rights
Ownership of materials (content, designs, campaigns, data analysis) created by the Agency for the Client will transfer to the Client upon full payment.
The Agency reserves the right to use non-proprietary elements, such as case studies or general marketing strategies, for marketing and educational purposes unless agreed otherwise.
5. Payment Terms
Payment terms, including fees, payment schedule, and accepted payment methods, are defined in the service agreement.
Late payments may result in delayed services or interest charges as stipulated in the agreement.
Any service-related taxes, such as VAT, shall be the responsibility of the Client.
6. Client Responsibilities
The Client must provide timely access to necessary materials, approvals, and account access for the successful execution of services.
The Client must avoid actions that could jeopardize the effectiveness of marketing efforts or violate third-party terms (e.g., social media platforms).
7. Service Modifications and Cancellations
Either party may request modifications to the service scope, subject to mutual agreement and possible additional fees.
Either party may cancel services with written notice as outlined in the service agreement.
The Agency reserves the right to cease services due to non-payment or breach of agreement by the Client.
8. Warranties and Liability
The Agency will make every effort to achieve agreed-upon targets and timelines, but digital marketing outcomes may vary and cannot be guaranteed due to external factors.
The Agency will not be held liable for indirect damages, including lost revenue or data, unless resulting from gross negligence.
9. Indemnification
The Client agrees to indemnify and hold the Agency harmless from any claims, damages, or losses arising from content provided by the Client or their instructions.
10. Governing Law
This Agreement shall be governed by and interpreted according to the laws of Eluru District. Any disputes arising will be resolved within this jurisdiction.
11. Amendments to Terms
The Agency reserves the right to update these Terms and Conditions periodically. Clients will be notified of any major changes, and continued use of services constitutes acceptance of updated terms.
